The Monterey Peninsula Flycasters’ Bylaws


CHARTER

Article 1:  NAME

The name of this organization shall be:  MONTEREY PENINSULA FLYCASTERS.

Article 2:  AIMS AND PURPOSES.

	Section 1.  To promote the art of fly fishing and fly casting.

	Section 2.  To widen the bonds of fellowship and sportsmanship.

Section 3.  To participate in the support of measures dedicated to the conservation of natural resources which make possible the enjoyment of the above objectives.

Article 3:  DISSOLUTION

Section 1.  On dissolution after payment of debts, all of the assets shall be contributed to a non-profit fund, foundation or corporation; any books or videos shall be contributed to a non-profit library or organization dedicated to fly fishing.

BY-LAWS

Article 1:  MEMBERSHIP

	Section 1.  The number of members shall not be limited.

	Section 2.  Membership shall not be limited as to age, race, religion or sex.

	Section 3.  Applicants for membership must have interest in the sport of fly fishing.

	Section 4.  New membership shall become effective on the date that the dues are paid.

Section 5.  Members found guilty of violations of Fish and Game rules and regulations may be expelled by approval of a majority of the executive board members.

Section 6.  Each regular member shall have one vote with the exception of members under the age of 16 who shall not be entitled to vote.



Article 2:  DUES

Section 1.  Annual dues for members sixteen years of age and older shall be $30.00, due and payable for the year in advance on January 1 of each year.  Increases of $5.00 increments since last raise may be at the discretion of the board, not to increase more than once over a calendar year.  Dues for new members shall be prorated on an annual or semiannual basis.

Section 2.  Annual dues for members under the age of 16 and for the year in which they become sixteen shall be one half the amount of adult members due and payable for the year in advance on January 1 of each year.  Dues for new members will be prorated on an annual or semiannual basis.

Section 3.  Any member 3 months delinquent in dues shall be dropped from the club roster and newsletter mailing list.  Memberships in good standing and benefits pertaining thereto shall be restored upon receipt by the Club Treasurer of all dues in arrears.  Ex-members returning after a lapse of membership will be considered to be in arrears for only the current calendar year and will have their membership restored upon receipt of current annual dues.



Article 3:  OFFICERS AND BOARD OF DIRECTORS

	Section 1.  The officers shall be the following:

a.	President:  Presides at meetings of club and Board of Directors and has general charge of club affairs.

b.	Vice-president:  In charge of all programs at all meetings.  Will assume the duties role of president in the absence of the president.

c.	Secretary:  Maintains club records and minutes; handles correspondence; maintains an up-to-date membership roster and mailing list; receives, processes and files all membership applications.

d.	Treasurer:  Collects dues and initiation fees and receives proceeds from raffles, sales and contributions for deposit in the club treasury.  Makes disbursements from the club treasury for all expenses properly authorized in accordance with Article 5, section 5 and ensures that the provisions of Article 5, section 5 are adhered to.  Maintains accurate and current financial accounting records of all funds and transactions.  Upon collection of current dues from members, provides those members names to the club secretary to update the club roster and mailing list.  Prepares and submits to the membership an annual financial statement at the end of the calendar year for the period January 1 through December 31 and monthly income and expense reports to the board.

e.	All officers will perform any other lawful function consistent with Sections 1-3 inclusive if so voted by the Club.

Section 2.  The Board of Directors shall consist of the President, Vice-president, Secretary, Treasurer, and three other directors.  The non-officer directors are elected and serve a term of three years.  One new director will be elected each year to fill the vacancy of the director whose term expires.  The past President shall become an honorary board member for the year following his presidency.

The Board of Directors shall transact routine business of the club.  Only matters of direct importance to the entire club shall be presented at the regular membership meetings.  

Section 3.  The Board of Directors shall have the authority to approve expenditures up to a maximum of $500 per item of business without membership approval if required to enhance the purposes of the club.  The general membership shall be advised of all such authorization of expenditures at the next regular meeting in the Treasurer’s next following monthly report.

Section 4.  Elections and Vacancies

a.	A three-member nominating committee shall be appointed by the Board of Directors at or prior to the October general meeting.  The nominating committee shall prepare a slate and post it in the Club Newsletter prior to the November general meeting.  Following any additional nominations from the floor at the November general meeting, the vote will be set for the December meeting.  Election will be by a majority of the votes cast by members in good standing as of the close of the December general meeting (Christmas party).  Officers will be installed during the January general meeting (Annual Dinner).  Officers shall serve, but not be limited to, one year.

b.	Directors will be elected in the same manner and at the same time as the officers.

c.	If the President vacates the office during the term, the Vice-president shall be President.  Any other vacancies during the term shall be filled by appointment by the board.

Article 4:  COMMITTEES

	Section 1.  Standing Committee Chairman

a.	The following standing committee chairmen will be appointed by the President:

1)	Outing Chairman
2)	Librarian
3)	Newsletter Editor
4)	Refreshments Chairman
5)	Northern California Council of Fly fishing Clubs Representative
6)	Raffle Chairman

b.	Such other committees may be appointed by the President as the need arises.

Article 5:  STANDING RULES

Section 1.  Roberts Rules of Order shall be the guideline for General Membership and Board of Directors meetings.

Section 2.  One general membership meeting shall be held each month.  The time and date of the meeting shall be chosen by the general membership but shall remain constant throughout the year.  One Board of Directors’ meeting shall be held each month.  Four (4) officers and directors shall constitute a quorum.

Section 3.  A quorum at general membership meetings shall consist of a minimum of one-third of the total members in good standing.

Section 4.  Any amendment to the by-laws shall be approved by a 2/3 vote of members.  Copies of proposed amendments shall be provided in writing to all members at a general membership meeting and final proposals published in the Club Newsletter prior to the general membership meeting at which final action on the amendment is to be taken.  The vote will be taken and the results announced at such general membership meeting.

Section 5.  Receipts must be submitted by Club members for reimbursement of expenses on behalf of the Club; any expense in excess of $100 must be approved in advance.  

a.	The Treasurer is authorized to make payment on the following routine expenses without further authorization upon receipt of an appropriate bill or voucher:

1)	Rent for the general membership meeting place.
2)	Monthly newsletter preparation, printing and mailing expenses.
3)	Mailing or shipping expenses for returning entertainment films and slides or other materials to speakers or organizations.
4)	Expenses for refreshments provided by the refreshment chairman at general membership meetings.
5)	Expenses incurred for speakers and presenters at General Membership meeting.

b.	All other expenses must be approved for payment by the Board of Directors (see Article 3, section 3 and Article 5, section 5) or by vote of the members at a general membership meeting.

c.	The signature of two club officers shall be required on all checks written on the club checking account before they become valid for payment.
